FREE DETACHABLE WARRANTS
- LISTING AND QUOTATION NOTICE
The Board of Directors (“Directors”) of KLW Holdings Limited (“Company”) refers to its
announcements dated 15 November 2013 in relation to the Rights cum Warrants Issue, Placement
and Subscription Option (“Previous Announcement”), 13 March 2014 and 3 April 2014.
Unless otherwise defined herein, all capitalised terms used herein shall bear the same meaning
ascribed to them in the Previous Announcement.
The Directors are pleased to announce that the Company has received the listing and quotation
notice (“Listing and Quotation Notice”) from the SGX-ST on 23 April 2014 for the listing and
quotation of the following:
(i) up to 2,440,278,158 Rights Shares;
(ii) up to 2,440,278,158 Warrants;
(iii) up to 2,440,278,158 Warrant Shares;
(iv) up to 500,000,000 Placement Shares; and
(v) up to 2,000,000,000 Option Shares;
on the SGX-Catalist Board subject to the following:
(a) compliance with the SGX-ST’s listing requirements;
(b) Shareholders’ approval for the Rights cum Warrants Issue, Placement, and Subscription
Option at the EGM to be convened;
(c) the approval by independent shareholders in respect of the Whitewash Resolution in
connection with the Placement and Subscription Option, in accordance with any conditions
required by the Council, waiving the obligation for the Subscriber to make a general offer for
the Company under Rule 14 of the Code; and
(d) submission of a confirmation that a sufficient spread in the Warrants as required under Rule
826 of the Catalist Rules is complied with.
The Listing and Quotation Notice is not to be taken as an indication of the merits of the Rights cum
Warrants Issue, Placement, Subscription Option, Rights Shares, Warrants, Warrants Shares,
Placement Shares, Option Shares, the Company, its subsidiaries and their securities.
